This Shared Success Partnership Agreement ("Agreement") is made effective as of [Effective Date], by and between AskSAMIE, Inc, a Missouri Corporation with its principal place of business located at 800 E 18th St Kansas City, MO 64108 (“AskSAMIE"), and the agreeing Partner.

Recitals

WHEREAS, AskSAMIE is engaged in the business of sourcing and selling adaptive equipment for individuals with disabilities;

WHEREAS, Partner desires to enter into a partnership such that AskSAMIE hosts a collection of adaptive equipment products that will be sold on or through Partner’s platform;

WHEREAS, Partner will curate the collection of products and services shared,

WHEREAS Partners curating a white labeled store shown on their website will provide a written review as to “Why This Works” for any new product requested to be added to the AskSAMIE catalogue to be sold in their store.

WHEREAS, AskSAMIE will obtain, fulfill, ship and accept returns on products and services offered on behalf of Partner, while also making a good faith effort to educate the customer that the order is associated with the Partner and being fulfilled by AskSAMIE.

WHEREAS, AskSAMIE wishes to establish a revenue share model with Partner as compensation for sales generated by Partner;

WHERAS, Partner will be able to issue free standard shipping discount codes as an incentive to customers.

NOW, THEREFORE, in consideration of the mutual promises contained herein, the parties agree as follows:

1. Definitions

"Sales" refers to the total revenue generated from the sale of AskSAMIE's equipment, products and services, excluding taxes, shipping, and returns, made by Partner under this Agreement.

2. Revenue Share

AskSAMIE agrees to pay Partner a revenue share on Sales of equipment, products and services generated by Partner according to the following tiered structure:

• Tier 1: For Sales amounting from $0 to $5,000, Partner will receive a revenue share of 10%.
• Tier 2: For Sales exceeding $5,000 up to $10,000, Partner will receive a revenue share of 12%.
• Tier 3: For Sales exceeding $10,000, Partner will receive a revenue share of 15%.

3. Payment Terms

AskSAMIE shall calculate the revenue share due to Partner on a quarterly basis at least and shall make payment to Partner for sales generated by the prior quarter. Payments will be made based on the applicable tiered revenue share percentage of the Sales generated by Partner during that quarter.

4. Reporting

AskSAMIE shall provide Partner with access to a sales report detailing the sales generated and the corresponding revenue share amount due to Partner.

5. Term and Termination

This Agreement shall commence on the Effective Date and shall continue in effect for one year from the date of signature. It can be terminated with 30 days of written notice by either party.

6. Confidentiality

Both parties agree to keep confidential and not to disclose to any third party without prior written consent any proprietary information received from the other party in connection with this Agreement.

7. Amendments

This Agreement may be amended only by written agreement signed by both parties.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Missouri, without regard to its conflict of laws rules.
